ATLANTA, GA (January 3, 2020) – Krevolin & Horst is pleased to announce we have elected two new partners, Michael Karamat and Wesley Turner. We have also added four new associates: Daniel Alfino, Sada Bâby, Kana Caplan and John Wisiackas.

Michael Karamat is a partner in our corporate, real estate, and technology practice areas. Michael focuses his practice on corporate finance transactions, including structured financings, acquisition financings and asset-based financings. He has experience representing both financial institutions and companies in multi-million dollar transactions, including a $770 million acquisition financing. As well as financing matters, he has represented clients in connection with the purchase and sale of businesses in various industries, including hospitality, gaming and technology.

Michael earned his J.D., with honors, from the Emory University School of Law. He was awarded the Attorney’s Title Guaranty Fund Award and the Dean’s Awards in Venture Capital, Contract Drafting and Commercial Real Estate. He also served as a managing editor of the Emory Law Journal, is a member of Phi Alpha Delta and the Order of the Coif. Michael received his B.S.B.A. from the McDonough School of Business at Georgetown University, one of the world’s leading business schools, where he majored in finance and accounting while minoring in psychology.

In addition to his regular practice, Michael does pro bono work for Atlanta Legal Aid. Before joining Krevolin & Horst, Michael was an associate at a national AM100 law firm.

Wes Turner is a partner in Krevolin & Horst’s Commercial Real Estate and Corporate practices. Wes’ Commercial Real Estate practice focuses on representing owners, developers, and lenders in the matters of acquisitions, divestitures, development, and investment activities for multi-family housing, retail, commercial, and industrial property. He also represents tenants in lease negotiations for large commercial properties and office space.

Wes’ Corporate practice focuses on assisting middle market companies with asset, stock, and merger transactions, from the perspective of both buyers and sellers, in the context of leveraged acquisitions (“LBOs”), management buy-outs (“MBOs”), strategic acquisitions, divestments, mergers, capital reorganizations, and reverse mergers. His experience includes representing companies growing by acquisition, and private investors seeking to purchase businesses for investment purposes.

Daniel Alfino is an associate in the Corporate practice of Krevolin & Horst. Dan represents growth companies in a wide range of transactional fields, including venture capital and private equity investment; banking and secured finance; mergers and acquisitions; joint ventures; real estate purchase and leasing; and technology and software licensing. Dan provides creative, responsive, and efficient legal assistance to technology startups and other closely-held companies seeking capital formation at any stage of funding, and he drafts and negotiates equity compensation contracts, employment contracts, and other related commercial contracts on their behalf. Dan also represents lenders and borrowers in a variety of secured finance transactions, including asset-based lending, cash flow lending, mezzanine lending, and acquisition finance.

Additionally, Dan provides counsel to charter schools, representing schools in real estate, secured finance, and commercial transactions. He leverages his background as a former elementary teacher with Teach For America to provide practical solutions that are tailored to the needs of his clients in the education field. He also draws on his previous experience as a founding board member of The Community Academy for Architecture and Design, a charter school in Stone Mountain, Georgia.

Dan earned his undergraduate degree from Harvard University in 2011 and his J.D. from the University of North Carolina School of Law in 2016. Before joining Krevolin & Horst, Dan was an associate at a national AmLaw 100 law firm.

Sada Bâby has experience in a variety of complex business litigation matters.  Before joining Krevolin & Horst, she was a Managing Associate at a multi-national law firm, where her practice focused on general commercial litigation, product liability, mass tort, and class action defense.

Sada received her J.D. from the University of Michigan, graduating cum laude. During law school, she served as Executive Note Editor of the Michigan Law Review.

Before her career as an attorney, Sada was a professional athlete on the United States national fencing team. She competed in the 2004 and 2008 Olympic Games, earning three medals. She continues to be involved in the sport today, both as an athlete and in leadership roles. She is currently a member of USA Fencing’s Safe Sport Resource Team, which works to reduce abuse and misconduct in the sport, and recently served as the head of the United States delegation to the 2019 Junior and Cadet World Championships. She has been inducted into the International Fencing Federation and USA Fencing Halls of Fame.

Kana Caplan is a seasoned commercial litigator.  Kana’s practice comprises a wide range of complex business litigation, including disputes relating to business divorce, non-compete agreements, business torts, and contracts.  She also has experience with healthcare fraud matters, including cases under the False Claims Act.  Kana regularly represents clients in state and federal courts, and before arbitrators.  She is a skilled negotiator and has resolved many disputes prior to litigation.  She excels at providing clients with a practical, big-picture perspective on the risks and benefits of litigation with cost-effective resolutions.

Prior to joining Krevolin & Horst, Kana served as a law clerk to the Honorable Mark H. Cohen on the United States District Court for the Northern District of Georgia, where she managed hundreds of federal civil cases.   Prior to her clerkship, she practiced at an Am Law 100 firm in New York City, where her practice focused on complex commercial litigation before courts and arbitral tribunals.

John Wisiackas approaches the practice of law with a commitment to professionalism and offering his clients valuable insight on whatever legal issues they are facing. John primarily practices business law, including entity formation, mergers, acquisitions, and corporate finance transactions. John also focuses his practice on general corporate governance, regulatory compliance, and day-to-day business matters.

Before joining Krevolin Horst, John primarily practiced healthcare law and represented a variety of medical providers, with an emphasis on the representation of toxicology laboratories. While practicing healthcare law, John specialized in both transactional work and litigation. In addition to his work in medical practice acquisitions and general corporate matters, John practiced in regulatory compliance, private insurer and government payor audits, overpayment appeals, and complex litigation, often involving government payors and national insurance companies.

John is a graduate of the Emory University School of Law, with honors, and the University of Virginia, where he received a Bachelor of Arts in Economics.
