Ruba Qashu is a partner in Barton’s business and finance team, focusing on capital markets and securities transactions. She has extensive experience as lead securities counsel for public companies and is a dedicated and indefatigable partner to her clients. Ruba is known for being cheerfully responsive at all hours, especially when working to meet critical deadlines. She is distinguished by her substantive history and efficacy in dealing with the SEC, Nasdaq and NYSE, strategic counseling, and ability to structure complex transactions. Ruba is also a talented writer, regularly participating to craft stockholder communications that deliver clear, concise and effective messages.

Ruba’s capital markets experience includes reverse mergers, Form 10 transactions, follow-on public offerings, CMPOs, registered directs and PIPEs. She handles ‘34 Act reporting and advises regarding corporate governance, equity compensation plans and stockholder communications. Ruba files primary, reseller, and shelf registrations. She has a successful track record defending against proxy contests and managing shareholder activism. Ruba also counsels companies regarding compliance plans for maintaining stock exchange listings, up listing,  and moving listings.

Ruba also regularly advises public and private companies with regard to private offerings, mergers and acquisitions, spin-offs and joint ventures. She negotiates and drafts a full range of business and operations agreements. In addition, she represents institutional and other investors in connection with their investments.

Ruba holds a B.A. in English Literature from UC Berkeley and a J.D. from Hastings College of Law (now UC Law San Francisco). She is admitted to practice in California.
