If you have a company registered to do business, you also have a Registered Agent. The Registered Agent is designated to receive formal documents, tax information, and lawsuits on behalf of the company. It is important to update your Company’s information with the State of Michigan to ensure that your Registered Agent information is up to date.

Recently, a client came to our firm and had already been served with a lawsuit. In fact, the company had already been defaulted in the lawsuit for failing to respond to the lawsuit in a timely manner. There were serious questions as to whether their company was properly served with a lawsuit. However, drafting motions to dispute service and to set aside a default can cost thousands in additional legal fees.

In our client’s case, he used an online service to establish his Limited Liability Company. This service has established offices in the State of Michigan that they used for the Registered Agent address. A process server allegedly served the lawsuit at a Registered Agent address in Flint, Michigan. However, our client never received a copy of the lawsuit and as previously stated, the service was likely invalid. All of this could have been avoided if the company had updated their Registered Agent information.
