Todd Masuda’s legal practice can be described as “outside general counsel,” which means he advises business clients on a wide range of business issues while being aware of their particular goals and culture. In particular, Todd’s practice involves employment issues, commercial transactions, and corporate transactions.

He counsels business clients on their employment practices, including wage & hour, discrimination, medical leave, hiring and firing, employment policies and handbook issues. He also defends companies in matters involving the EEOC, OSHA, and other employment-related agencies.

Todd has extensive experience negotiating and drafting commercial contracts, including purchase agreements for goods, service agreements, licenses (including IT agreements), and contracts for manufacturing, leasing and distribution, real estate, and construction services.

He also counsels clients through corporate transactions such as the formation of companies and subsidiaries, mergers & acquisitions, and the sale and transfer of ownership interests, including business succession projects. He particularly enjoys working with clients to structure new projects.

The “sweet spot” for SSSB’s business practice comprises privately held companies in a wide range of businesses, including industrial services, professional services, creative services, manufacturing, technology, and health care. In addition to counseling for-profit businesses, Todd also advises nonprofit organizations in the health care, arts, and education fields.

Todd joined Schneider, Smeltz, Ranney & LaFond P.L.L. in 2007, and became a partner in 2014.

Schneider, Smeltz, Ranney & LaFond P.L.L. became Schneider Smeltz Spieth Bell LLP in 2016, as two of the oldest and most established law firms in Cleveland combined.

A lifelong patron of public libraries, Todd serves on the board of the Cleveland Public Library Foundation. His hobbies include playing oud and guitar, and he participates in Cleveland’s improvised music scene. He lives with his family in the Ohio City neighborhood.
