Practice areas
Ruth advises financial institutions, insurers, funds and private equity houses on all aspects of corporate and private equity structuring and regulation. Ruth has particular expertise working with domestic and captive insurers, brokers and insurance managers in the Cayman Islands and provides advice to the Government sponsored group reviewing the Insurance Law.
Her experience includes:
- providing advice on structuring and formation of Cayman entities for private equity houses and regulated banking institutions, including preparation of Private Placement Memoranda and Investment Advisory Agreements
- advising on listings on the Cayman Islands Stock Exchange
- forming insurance companies, insurance brokers and insurance managers in the Cayman Islands
- advising on mergers and acquisitions including cross border transactions
- providing regulatory and corporate advice regarding the formation, structuring and licensing of broker dealers and investment managers
Education and Career
Ruth graduated from Leicester University with an honours degree in law before joining Lloyd’s of London as a regulator. Ruth subsequently qualified as a solicitor with The City Law Partnership, now part of Maclay Murray & Spens LLP, and later in 1999 joined Clifford Chance LLP, London practising with their financial institutions group. In 2003 Ruth joined Maples and Calder in the Cayman Islands acting as the global head of insurance. Ruth joined Myers & Alberga in 2009 on its restructuring.
