Prior to joining the legal profession, Nelson worked in various managerial positions in the banking and finance industry.  Capitalizing on this background Nelson mainly practises banking, finance and commercial laws, which he has built admirable experience.

Since his admission and in less than 6 years’ time, he has handled the documentation work in English and Chinese languages of over 160 secured/unsecured bilateral/syndicated loan cases with total value of HK$190 billion and 1 cross-border RMB70 billion interbank deposit agreement.  The loan transactions handled by Nelson include asset-based financings such as ship mortgage financing. One such asset-based financings is that he has acted for one major Mainland bank in the preparation of loan documentation of a US$37 million financing for the acquisition of 2 new-build timber carriers for a major shipping group in the Mainland. Nelson has also prepared the transaction documentation of 2 club loans totalling US$300 million arranged by a Mainland bank for a Norwegian offshore oil drilling company.

He has also assisted a listed Mainland corporation in its acquisition of the real estate investment trust in the Mainland from a US investment bank after the financial turmoil in 2008.

In addition, Nelson actively advises banks, securities houses and investment funds on laws and regulations involving licensing, operations and products.  He has advised one major PRC bank in its application for banking licence in Hong Kong, and provided legal services throughout the process for the establishment of its Hong Kong branch.  Nelson has prepared the standard forms and contracts in English and/or Chinese languages for 3 PRC banks starting their branch operations in Hong Kong.

Besides, he has assisted 3 corporations, 1 bank subsidiary and 1 licensed bank in obtaining licences / registration in conducting types 1 (dealing in securities), 4 (advising on securities) and 9 (asset management) regulated activities from Securities and Futures Commission of Hong Kong.  He regularly advises securities houses on governance and compliance issues, and the has prepared product documentation of regulated activities such as OTC derivatives master agreement, stock borrowing and lending agreement, and investment management agreement for securities houses.

He has prepared brokerage service agreements in Chinese and English languages for a sovereign fund managing assets with value to the equivalent of HK$1,000 billion, and represented the sovereign fund in the negotiation of the brokerage services agreement with 6 investment banks from the PRC, US and Japan.

Nelson also conducts seminars and talks on legal documentation of banking products and banking and finance laws for banks and professional institutes from the Mainland and Hong Kong from time to time.

Nelson is proficient in drafting documents in English and Chinese languages and he speaks fluent English, Mandarin and Cantonese.
