Jim Alam is a business lawyer with a practice focusing on banking and financial services and all aspects of corporate commercial transactions.

As a member of the firm’s Banking and Insolvency Group, Jim acts for a number of Canadian chartered banks, Canadian, U.S. and international financial institutions, private lenders as well as corporate borrowers. Specifically, Jim’s practice entails the structuring and documentation of credit facilities and secured transactions, including project financing, cross-border lending, asset-based lending, lease financing, acquisition and merger financing, mezzanine financing, aircraft financing, credit syndication and routine operating and term credit facilities covering all market levels, together with advice respecting regulatory matters, consumer credit law and Personal Property Security Act issues.

Jim’s corporate/commercial practice includes acting for both purchasers and vendors in the purchase and sale of assets and shares, advising on the formation, structuring, and restructuring of various business associations and incorporations, drafting and negotiating corporate and commercial contracts and shareholder agreements, commercial leases, preparation and drafting of closing agenda, and organization of complex closing documentation for major transactions. Jim also has experience assisting media and entertainment clients with all aspects of their business, including regulatory and financing issues.

Jim has a particular interest in video game law and acts for a number of clients in the video game industry, both locally and in the U.S./international context. Jim has broad experience advising clients on intellectual property licensing, video game development and publishing, and video game financing issues and assists clients with preparing and negotiating all aspects of video game industry contracts. Jim was involved and assisted in the conception of the first legal text in the area of video game law: “Video Game Law, by Jon Festinger”, as well as with preparation of syllabus and course materials for the “Video Game Law” course at UBC & UVic Law Schools. Jim has routinely attended major video game trade functions, including the E3 Expo, PAX and IGDA functions.
